Length of Appointment
Per by-laws, Board Trustees are appointed to 3-year terms of service.

Cap on Length of Service
Trustees are limited to six (6) years (2 terms) of consecutive service on the Board.  However, in order to achieve continuity, the Board may elect to allow a third term of service for up to three (3) Board members.  No Board member may exceed nine (9) consecutive years of Board service.

Timing of Board appointments
The terms of service appointments to the Board generally begin in August with the Board’s Annual Meeting.  However, new appointments may also be recommended by the Nominating Committee of the Board and approved by the full Board whenever needed to fill existing vacancies.

Board Recruitment Plan
The timing of Board member appointments is planned in such a way as to stagger the exit of existing Board members and the recruitment and entry of new Board members.  Since terms of service are for two, three-year terms, there will generally be two to three Board replacements made each year.

Compensation
With the exception of the Chair of the Board, all Board Trustees serve without financial compensation or stipend.  The Board Chairman for each corporation (i.e., HealthInsight and HealthInsight of Nevada) receives a compensation of $150 per hour of the time expended in fulfillment of his/her duties as chairs.

Board actual travel expenses are managed and paid by the company.
